Free Beats Non-Exclusive License
Master Recording and Composition
The Licensor hereby grants the Licensee the right to record vocal synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use the Instrumental from the Licensor. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental, or by adding any melodies, instruments, drum programming or sounds that are not contained within the Instrumental.

Profitable Distribution
The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of one thousand (1000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media.

Synchronization
The Licensee may also synchronize the Instrumental in a non-profit manner (profit made from ad revenue however, is permitted) with an unlimited number of videos owned by Licensee through an internet-based medium such as Youtube, Facebook, Twitter, or a personal webpage.

Ownership
The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. All rights and terms in this agreement last for 1 (one) year after the acquisition date of this license. This license will no longer be valid after one year of its acquisition date. A non-free (Basic, Standard, Premium, or Exclusive) will have to be purchased should the Licensee wish to attain further rights. In the event another individual purchases exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.

Credit
The Licensee must give production credit to the Licensor (e.g. "Produced by Shaun Marlo", "Beat by Shaun Marlo Productions", "Instrumental Made by Shaun Marlo") for any and all distributed material. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover. The Licensor reserves the right to keep an audio signature at the beginning of all non-exclusive instrumentals.

Basic Non-Exclusive License

The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental, or by adding any melodies, instruments, drum programming or sounds that are not contained within the Instrumental.

Profitable Distribution
The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of two thousand (2000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

The Licensee may also synchronize the Instrumental in a non-profit manner (profit made from ad revenue however, is permitted) with an unlimited number of videos owned by Licensee through an internet-based medium such as Youtube, Facebook, Twitter, or a personal webpage.

Standard Non-Exclusive License

The Licensee is limited to a distribution of five thousand (5000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

The Licensee may also synchronize the Instrumental in a non-profit manner (profit made from ad revenue however, is permitted) with an unlimited number of videos owned by Licensee through an internet-based medium such as Youtube, Facebook, Twitter, or a personal webpage.

Premium Non-Exclusive License
Master Recording and Composition
The Licensor hereby grants the Licensee the right to record vocal synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use the Instrumental from the Licensor. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement for use of a new composition, by changing the arrangement of the Instrumental or by completely removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental, or by adding any melodies, instruments, drum programming or sounds that are not contained within the Instrumental. The Licensee may mix the Instrumental in any shape, way, or form, including partially removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental (with the exception of reselling the Instrumental and the arrangement restrictions above).

Profitable Distribution
The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of ten thousand (10000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

Synchronization
The Licensee may also synchronize the Instrumental in a non-profit manner (profit made from ad revenue however, is permitted) with an unlimited number of videos owned by Licensee through an internet-based medium such as Youtube, Facebook, Twitter, or a personal webpage. The Licensee may edit the Instrumental that is being licensed in this agreement for use of a synchronization, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental. The Licensee may not add any melodies, instruments, drum programming or sounds that are not contained within the Instrumental.

Ownership
The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. All rights and terms in this agreement last for 1 (one) year after the acquisition (purchase) date of this license. This license will no longer be valid after one year of its purchase date, and will have to be renewed should the Licensee wish to maintain these rights. Exclusive License
Master Recording and Composition
The Licensor hereby grants the Licensee the right to record vocal synchronization to any or all parts of the Instrumental. Exclusive rights allow the Licensee to use the Instrumental for unlimited commercial recordings and radio broadcasts. The Licensee agrees to refrain from editing the Instrumental that is being licensed in this agreement for use of a new composition, by changing the arrangement of the Instrumental or by completely removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental, or by adding any melodies, instruments, drum programming or sounds that are not contained within the Instrumental. The Licensee may mix the Instrumental in any shape, way, or form, including partially removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental (with the exception of reselling the Instrumental and the arrangement restrictions above).

Profitable Distribution
The Licensee may distribute an unlimited number of copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media.

Synchronization
The Licensee may also synchronize the Instrumental in a non-profit manner (profit made from ad revenue however, is permitted) with an unlimited number of videos owned by Licensee through an internet-based medium such as Youtube, Facebook, Twitter, or a personal webpage.

Ownership
The Licensor maintains copyright to the instrumental, but may no longer sell it non-exclusively nor exclusively. The Licensor expressly forbids resale or other distribution of the Instrumental, either as they exist or any modification thereof. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. The Licensor can not sell, loan, rent, lease, assign, remix, rearrange, remove any melodies, instruments, drum programming or transfer rights under to another user (example - Record Label, another production company, another producer), or for use in any competitive product without written consent. The Licensor may use the Instrumental for non-profit promotional purposes.

Credit
The Licensee must give production credit to the Licensor (e.g. "Produced by Shaun Marlo", "Beat by Shaun Marlo Productions", "Instrumental Made by Shaun Marlo") for any and all distributed material containing a portion or sum of the Instrumental that is being licensed in this agreement. Including but not limited to CD's, CD covers, Cassette tapes, Cards, Mixtapes, Websites, etc. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover.

Clearance 
If the Instrumental includes samples, the Licensee understands that the sequence and music arrangement is considered original work. Samples may not be cleared before composition, and Licensee is required seek clearance for the samples. The Licensee is responsible for clearing all samples used (if any) and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the composition/arrangement that is being licensed in this agreement.

Royalties
Royalties for the sale, distribution, broadcast and performance of any derivative of the Composition shall be allocated as follows:
Sales:
2% of gross sales to the Licensor
Writing Shares:
50% - Producer
50% - Licensee
Publisher Shares:
50% - Publisher
50% - Licensee

Additional Terms
Licensee must supply the Licensor with at least 1 copy of each final recording made using the Instrumental.

Licensee must contact and inform Licensor of CD sales if the Instrumental is used for commercial purposes with a record label with gross revenue of over $1,000,000, the Licensor must receive credit for the Instrumental, unless agreed upon otherwise by the two parties.


Written consent is require if the Instrumental is to be used for Radio Broadcast, Commercial Advertisement, Television Broadcast, Video Games, Internet (with the exception of the rights granted in "Synchronization" above), On-hold & In House Background Music, or film Soundtracks.

Applies to All Licenses
Warranties
Unless otherwise agreed in writing, the Licensor offers the Composition as-is and makes no representations or warranties of any kind concerning the work, including, without limitation, warranties of title, merchantability, fitness for a particular purpose, non infringement, or the absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not discoverable.

Limitation on Liability
Except to the extent required by applicable law, in no event will the Licensor be liable to Licensee on any legal theory for any damages arising out of this license or the use of the Composition, even if the Licensor has been advised of the possibility of such damages.

Refund/Chargeback Policy
There are NO refunds once the Instrumental license is purchased. In the event of a chargeback or payment dispute of any kind which results in payment being refunded, you forfeit all rights to the Instrumental.

Termination
Any breach by the Licensee of the terms of any above license will result in immediate and automatic termination of said license and all rights granted hereunder.

Agreement
By purchasing or acquiring any instrumental and receiving a contract via email, you automatically agree to the terms stated in said contract and gain any applicable rights to the Instrumental purchased.
